End User License Agreement
This End User License Agreement (“EULA”) is a legal agreement between you (“Licensee”) and the developer of Amalex Handler (“Licensor”). By downloading, installing, or using the Amalex Handler software (“Software”), you agree to be bound by the terms of this EULA.
IMPORTANT: If you do not agree to the terms of this EULA, do not download, install, or use the Software. Delete all copies in your possession.
1. Grant of License
Subject to the terms of this EULA, the Licensor grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Software as follows:
1.1 Free Trial License
The Trial License permits evaluation of the Software for fourteen (14) days from the date of first installation. During the trial period, functionality is limited to a maximum of three (3) transfer jobs. The Trial License is granted for evaluation purposes only.
1.2 Personal License
The Personal License permits installation and use of the Software on one (1) machine by one (1) individual. The license is perpetual (subject to compliance with this EULA) and includes updates within the same major version.
1.3 Team License
The Team License permits installation and use of the Software on up to five (5) machines within a single organization. The license is perpetual (subject to compliance with this EULA) and includes updates within the same major version and priority support.
2. License Key
Upon purchase, you will receive a unique License Key. You agree to:
- Keep your License Key confidential and secure.
- Not share, publish, or distribute your License Key.
- Use your License Key only on the number of machines permitted by your edition.
- Not attempt to generate, forge, or reverse-engineer License Keys.
A License Key found to be shared publicly or used on more machines than permitted may be revoked without notice or refund.
3. Restrictions
You shall not:
- Modify — alter, adapt, translate, or create derivative works based on the Software.
- Reverse Engineer — decompile, disassemble, or otherwise attempt to derive the source code of the Software, except to the extent permitted by applicable law.
- Distribute — copy, distribute, sublicense, lease, rent, or lend the Software to any third party.
- Circumvent — bypass, disable, or interfere with any licensing, security, or access-control features of the Software.
- Compete — use the Software as a basis for developing a competing product.
4. Intellectual Property
The Software, including all code, design, documentation, trademarks, and associated materials, is and remains the exclusive property of the Licensor. This EULA does not grant you any ownership rights. All rights not expressly granted are reserved by the Licensor.
5. Data and Privacy
The Software operates entirely on your local machine. The Licensor does not collect, access, or transmit any of your data, files, credentials, or usage information through the Software. You are solely responsible for the security and backup of your data.
6. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
The Licensor does not warrant that:
- The Software will meet your specific requirements.
- The Software will operate uninterrupted, securely, or error-free.
- File transfers will complete without data loss or corruption.
- Defects in the Software will be corrected.
7. Assumption of Risk
WARNING — DATA LOSS RISK: The Software performs file transfer operations that can permanently modify or delete files. Move operations delete source files. Mirror/sync operations can delete destination files. You assume all risk associated with the use of the Software.
You expressly acknowledge and agree that:
- File transfer operations carry inherent risk of data loss or corruption.
- It is your sole responsibility to maintain backups of all important data.
- You will test the Software with non-critical data before production use.
- You will verify the results of all transfer operations.
- The Licensor bears no responsibility for any data loss, corruption, or unintended deletion resulting from use of the Software.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE LICENSOR SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES (including but not limited to damages for loss of data, loss of profits, business interruption, or procurement of substitute services) arising out of or in connection with this EULA or the use of the Software, even if the Licensor has been advised of the possibility of such damages.
The Licensor’s total cumulative liability under this EULA shall not exceed the amount actually paid by you for the Software license.
9. Indemnification
You agree to indemnify, defend, and hold harmless the Licensor from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney’s fees) arising from your use of the Software, your violation of this EULA, or your violation of any applicable law.
10. Termination
This EULA is effective until terminated. It will terminate automatically if you fail to comply with any of its terms. Upon termination:
- All rights granted to you under this EULA cease immediately.
- You must stop using the Software and destroy all copies.
- Sections 4, 6, 7, 8, 9, and 13 survive termination.
11. Updates
The Licensor may release updates, patches, or new versions of the Software. Your license includes free updates within the same major version (e.g., all 1.x releases). Major version upgrades may require a separate license purchase.
12. Entire Agreement
This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and the Licensor regarding the Software and supersedes all prior agreements and understandings.
13. Governing Law
This EULA shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law provisions. Any disputes arising under this EULA shall be subject to the exclusive jurisdiction of the courts in the United States.
14. Severability
If any provision of this EULA is held to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
